1. Parties
The engagement letter identifies Troy Accounting as the service provider and the client business (legal name and EIN) as the recipient.
2. Scope of Services
A specific list of the services included for the monthly fee: bookkeeping cadence, payroll if elected, tax services if elected, advisory deliverables if elected, audit support if elected. Out-of-scope work is quoted separately and only undertaken with written client approval.
3. Fees
The flat monthly fee, invoicing date, payment terms (typically 5 days), and one-time onboarding or cleanup fees if applicable.
4. Client Responsibilities
The client agrees to: provide timely access to source data, designate a primary contact, review monthly financials within 10 business days, maintain its own internal controls, and remain ultimately responsible for the accuracy of submitted information.
5. Confidentiality
Mutual confidentiality applicable to all engagement information, with standard exceptions (legal compulsion, professional standards, public information).
6. Limitation of Liability
Our aggregate liability is limited to the fees paid by the client in the 12 months preceding the claim, except in cases of gross negligence, willful misconduct, or fraud.
7. Termination
Month-to-month after the initial 90-day onboarding period, with 30 days written notice. See Refund & Cancellation Policy.
8. Governing Law
Governed by the laws of the state of our principal place of business. Disputes resolved by mandatory mediation, then binding arbitration before AAA, unless the dispute is properly brought in small-claims court.
9. Entire Agreement
The signed engagement letter, together with the Data Processing Agreement and any incorporated schedules, constitute the entire agreement between the parties.
